Terms of Service

These Terms of Service ("Terms") govern your use of Cleat — the desktop application and the website at cleat.tools — operated by Zimventures LLC ("Zimventures", "we", "us"). By downloading, installing, activating, or using Cleat, you agree to these Terms.

1. License grant

When you purchase a Cleat license, we grant you a non-exclusive, non-transferable, revocable license to install and run the Cleat desktop application on the number of machines permitted by your license tier (the "Activation Limit"). You may manage your active machines from your account dashboard.

The license is granted to you personally (or, for team-tier licenses, to your team). You may not sublicense, resell, or transfer your license without our written consent.

2. Activations and seats

Each Cleat license carries a fixed number of seats. Activating Cleat on a machine consumes one seat. You may deactivate a machine at any time from your account dashboard or directly from inside the app, freeing the seat for re-use.

If you exceed your Activation Limit, additional activations will be refused until you free a seat or purchase additional capacity.

3. Acceptable use

You agree not to:

Reverse-engineer, decompile, or attempt to extract the source code or signing keys from the Cleat binary, except to the extent expressly permitted by law.
Bypass or disable the license-activation system.
Use Cleat to access systems you are not authorised to access.
Resell, redistribute, or repackage Cleat without our written consent.
Use Cleat in a manner that violates applicable law.

4. Plugins

Cleat supports user-installed plugins written in Lua. Plugins run in a capability-scanned sandbox, but we do not warrant the safety, quality, or behaviour of any third-party plugin you choose to install. You are responsible for vetting plugins before installation.

5. Intellectual property

Cleat — including the binary, source code, signing keys, branding, and the cleat.tools website — is owned by Zimventures LLC and protected by copyright and other intellectual-property laws. Nothing in these Terms transfers ownership of any of that to you.

6. Updates and changes

We may release updates to Cleat from time to time. Updates within the same major version (1.x) are included with your license. Major-version upgrades (e.g. 1.x → 2.0) may require a separate purchase unless your license tier explicitly includes them.

7. Warranty disclaimer

Cleat is provided "as is" and "as available", without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Cleat will be uninterrupted, error-free, or compatible with every operating-system configuration.

8. Limitation of liability

To the maximum extent permitted by law, Zimventures LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of Cleat, even if we have been advised of the possibility of such damages. Our total liability under these Terms will not exceed the amount you paid for your Cleat license in the twelve months preceding the claim.

9. Termination

You may stop using Cleat at any time. We may suspend or revoke your license if you breach these Terms, if a payment is reversed or refunded, or if we are required to do so by law. Revoked licenses propagate to the desktop app on its next periodic refresh.

11. Privacy

Our handling of personal information is described in our Privacy Policy.

12. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Material changes will be announced via the email address associated with your account.

13. Governing law

These Terms are governed by the laws of the State of New Hampshire, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in New Hampshire.
